1. Who we are
NSER.AI ("NSER", "we", "us") is a registered trade name (DBA) of SC Distribution, Inc., a corporation organized in the United States. All contracts, payments, invoices, and legal obligations described in these Terms are entered into with and performed by SC Distribution, Inc. doing business as NSER.AI. References to "NSER.AI" in these Terms, on our website, on invoices, or on credit card statements mean SC Distribution, Inc.
2. Acceptance
By purchasing, accessing, or using our websites, hosting, AI voice agents, chat, SMS, or any related service (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.
3. Services
We provide custom website design and development, hosting and maintenance, AI voice agents, chat, SMS automation, and related professional services. Specific deliverables, timelines, and inclusions are those described on the applicable order or checkout page at the time of purchase.
4. Fees, billing, and subscriptions
One-time fees (such as website builds) are charged as described at checkout. Subscription fees (such as hosting, maintenance, and AI agent plans) recur monthly until cancelled and renew automatically. Payments are processed by our third-party payment processor; we do not store full card numbers. You may cancel a subscription at any time, effective at the end of the then-current billing period. Hosting and maintenance are required for us to keep a site live on our infrastructure.
5. Guarantee and refunds
Where a satisfaction or money-back guarantee is advertised for a specific offer, it applies as stated on that offer page. Outside of an advertised guarantee, fees for delivered work and elapsed subscription periods are non-refundable.
6. Client responsibilities
You are responsible for the accuracy and legality of content, logos, images, and data you provide, for obtaining any rights needed to use them, and for complying with all laws that apply to your business — including telemarketing, call recording, consent, and messaging regulations when you use voice, SMS, or chat features.
7. Ownership
Upon full payment, you own the website content and code we deliver for your project. We retain ownership of our pre-existing tools, templates, frameworks, and internal systems, and may reference completed work in our portfolio unless you ask us not to.
8. Acceptable use
You may not use the Services for unlawful, deceptive, harassing, or abusive purposes, to send unsolicited messages in violation of law, or to infringe the rights of others. We may suspend Services for violations.
9. Third-party services
The Services rely on third-party providers for hosting, telephony, messaging, payments, and AI models. Their availability and terms are outside our control, and outages or changes by those providers may affect the Services.
10. Disclaimers and limitation of liability
The Services are provided "as is" without warranties of any kind to the fullest extent permitted by law. We do not guarantee specific search rankings, lead volume, revenue, or AI output accuracy. To the maximum extent permitted by law, the total liability of SC Distribution, Inc. arising out of the Services is limited to the amounts you paid us in the three months preceding the claim, and we are not liable for indirect, incidental, or consequential damages.
11. Termination
Either party may terminate ongoing Services with notice. Non-payment may result in suspension or removal of hosted services. Sections that by nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
13. Changes
We may update these Terms from time to time. Continued use of the Services after an update constitutes acceptance of the revised Terms.
